Expert Memorandum of Understanding (MOU)

This Memorandum of Understanding (“MOU”) sets out the working relationship between you (the “Expert”) and ExpertGrid OS (the “Platform”). It is reviewed and digitally accepted online before your public expert profile is published. It supplements — and does not replace — the Terms of Service and Privacy Policy.
1. Commission, fees & GST
The Platform charges a flat marketplace commission on completed, paid engagements. The commission is charged to the client over and above your fee — it is not deducted from your earnings. You receive your full fee (subject only to any statutory withholding, e.g. TDS, where applicable). The exact breakdown is shown on every receipt and on a formal invoice.
- Platform commission: a flat 18% of your fee, charged to the client in addition to your fee.
- GST is charged separately: 18% GST on the commission amount, billed to the client — not to you.
- What the client pays = your fee + 18% commission + 18% GST on that commission.
- Payment processing is handled by the Platform’s payment partners; the client’s payment is held in escrow and your full fee is released to your verified payout account on completion.
- The rates in force when you sign are recorded with your signature and apply until a new MOU version is agreed.
2. Expert — role & responsibilities before signing
- Provide accurate identity, affiliation, and expertise information for verification.
- Supply evidence (publications, credentials, affiliations) for the trust-level review.
- Respond to Platform communications during onboarding in a timely manner.
3. Expert — role & responsibilities after signing
- Keep your profile, availability, and service offerings accurate and current.
- Deliver engagements professionally, on time, and to the scope agreed with the client.
- Conduct all engagement payments through the Platform (no off-platform settlement for Platform-originated engagements).
- Disclose conflicts of interest; maintain client confidentiality; follow the Expert Do’s & Don’ts guidelines.
- Complete payout onboarding so escrow can be released to you.
4. ExpertGrid — role & deliverables
- Verification: credential review and a public trust level on your profile.
- Distribution: a public expert profile, AI-assisted matching to client needs, promotion surfaces (verified badge, embeddable profile card, share assets).
- Commerce: bookings, escrow payments, invoices/receipts, and payouts to your verified account.
- Collaboration: inquiry handling, engagement rooms, milestone tracking, and dispute handling.
- Support: a named ExpertGrid contact for onboarding and ongoing questions.
5. Term, changes & ending the relationship
- This MOU applies from the moment you accept it online (or a countersigned copy is recorded).
- If the MOU changes materially, a new version is issued; continuing to publish requires accepting the current version. Your signed version remains recorded.
- Either party may end the relationship; unpublishing your profile stops new engagements, and committed engagements wind down under the Terms of Service.
6. Signature
The MOU is executed digitally: you type your full legal name and confirm acceptance. The Platform records the accepted version, timestamp, IP address, and the commercial terms in force at signing. Where a paper signing occurs instead, ExpertGrid staff record the countersigned copy against your profile.
